Chapter 3 - The Boardroom Siege

By 7:30 AM the next morning, the glass-walled boardroom on the top floor of Hale Tower was packed. The air smelled of expensive espresso, leather, and palpable panic. Eleven board members sat around the mahogany table, whispering nervously as they scanned the morning headlines.

HALE CONSTRUCTION HEIR SUSPENDED AMID FINANCIAL FRAUD INVESTIGATION.

The doors swung open. I walked in, flanked by Arthur Vance—my father’s longtime corporate legal counsel—and two forensic accountants carrying heavy silver briefcases. I wore a tailored navy suit, my hair pinned back, carrying myself with the exact authority my father had spent thirty years building.

At the head of the table sat Julian Croft, my father’s former vice chairman, who had aligned himself with Vivian the moment Dad’s car went off the road.

"Isabella," Julian said, standing up and straightening his silk tie. He tried to project a look of paternal concern, but his darting eyes betrayed him. "We were deeply saddened to hear about the events at the house last night. But this is a corporate governance matter. You are not a member of this board, nor do you hold voting shares."

"Julian," I said, pulling out the head chair and sitting down without asking. "Sit down."

He blinked, shocked by my tone. "I beg your pardon?"

"I said sit down," I repeated calmly. "Because if you remain standing when I open this folder, you’re going to fall down."

Arthur opened his briefcase and distributed thick bound packets to every board member. The paper slapped against the polished wood like a drumbeat.

"What is the meaning of this?" asked Sarah Jenkins, one of the older board members who had been loyal to my mother decades ago.

"What you are looking at," I explained, resting my hands on the table, "is a comprehensive audit of Hale Construction’s commercial development division over the past eighteen months. Under Julian’s temporary management, four major municipal contracts were sub-contracted to a logistics firm named Apex Alliance."

Julian’s face went pale. "Apex Alliance is a fully vetted, high-performing vendor—"

"Apex Alliance is a paper company registered to an address in Delaware," I interrupted smoothly. "An address that happens to match the residential property tax filings of your brother-in-law, Julian. Over twenty-four million dollars in corporate funds were siphoned through Apex into offshore accounts, half of which were kickbacked directly to Vivian Vance to buy her silence and secure her votes."

Gasps echoed around the table. Sarah Jenkins immediately turned to glare at Julian. "Is this true?"

"This is slander! Unsubstantiated lies from an emotional daughter!" Julian shouted, slamming his fist on the table.

"It’s not slander when it’s backed by bank routing numbers, wire transfers, and sworn affidavits from Apex’s own accountant," Arthur added quietly, laying a certified court document in the center of the table. "An hour ago, the Securities and Exchange Commission issued a freeze on all assets associated with Apex Alliance. Furthermore, the district attorney has issued a subpoena for all email servers under Julian Croft’s administrative access."

Julian slowly sank back into his chair, the color completely drained from his face.

"Now," I continued, leaning forward. "Let's talk about the leadership of this company. Under Section 4, Paragraph B of the Hale Construction Founding Charter, in the event that the CEO is incapacitated and fraud is discovered among the executive board, full voting power reverts immediately to the primary beneficiary of the Hale Family Trust."

I pulled a single, gold-embossed document from my leather bag and slid it across the glass.

"This is my mother’s original trust deed, signed and finalized before her passing. It specifies that my father’s voting proxy could only be transferred if both he and I signed off together. The signature Vivian forced my father to sign last week was on an invalid draft that had been superseded three years ago."

I looked around the room, meeting the eyes of every single board member. "My father is currently recovering at St. Jude’s Private Hospital under twenty-four-hour police protection. His mind is clear, his health is stabilizing, and his instructions to me were very simple."

I stood up, resting my fingertips on the polished wood.

"Effective immediately, Julian Croft is removed from his position as Vice Chairman and fired for cause. Criminal charges have been filed. As for the rest of you, you have ten minutes to vote on my appointment as Interim Chief Executive Officer. If you vote yes, we save this company and restore its integrity. If you vote no, I release this audit report to the Wall Street Journal in fifteen minutes, and watch Hale Construction’s stock price crash to zero before noon."

Sarah Jenkins was the first to raise her hand. "I vote yes."

One by one, every hand around the table went up, until Julian was the only one left sitting in silence.

"Motion passed," I said, picking up my pen. "Now, clear out his office. We have work to do."
